Terms of Service

1. Acceptance of Terms
By creating an account or using the Mainto platform at mainto.ai or the Mainto iOS application (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, do not use the Service.
2. Service Description
Mainto provides a cloud-based property compliance management platform. The Service includes property and building system tracking, vendor management, work order creation, compliance calendar and deadline monitoring, AI-powered automation (including the Maia copilot and automated vendor outreach), report generation, team collaboration, and related features. The Service is provided on a subscription basis as described in Section 5.
3. Account Registration
- You must provide accurate, complete, and current information when creating an account.
- You are responsible for maintaining the confidentiality of your login credentials.
- You are responsible for all activity that occurs under your account.
- You must notify us immediately at info@mainto.ai if you suspect unauthorized access to your account.
- You must be at least 18 years old to create an account.
- One person may not maintain more than one free-tier account.
4. Team and Organization Accounts
If you create an organization account, you become the “Owner” of that organization. You may invite team members with varying permission levels (Admin, Member, Viewer). You are responsible for the actions of all team members within your organization. Team member limits are determined by your subscription plan.
5. Subscriptions and Billing
5.1 Plans and Pricing
Mainto offers a free tier with limited functionality and paid subscription plans with additional features and higher usage limits. Current pricing is available at mainto.ai/pricing. We reserve the right to change pricing with 30 days' advance notice.
5.2 Billing Cycle
Paid subscriptions are billed monthly or annually, depending on the plan you select. Billing begins on the date you subscribe and recurs on the same date each billing cycle. Annual plans are billed as a single upfront payment for the full year.
5.3 Free Trial
New accounts receive a 14-day free trial of paid features. No credit card is required to start a trial. At the end of the trial, your account will revert to the free tier unless you subscribe to a paid plan. No charges will be made without your explicit consent.
5.4 Payment Processing
All payments are processed by Stripe. By subscribing to a paid plan, you authorize Stripe to charge your payment method on a recurring basis. You agree to keep your payment information current. Failed payments may result in suspension of paid features after a 7-day grace period.
5.5 Upgrades and Downgrades
You can upgrade your plan at any time. Upgrades take effect immediately, and you will be charged a prorated amount for the remainder of your billing cycle. Downgrades take effect at the end of your current billing cycle — you retain access to your current plan's features until then.
6. Cancellation and Refund Policy
6.1 How to Cancel
You can cancel your subscription at any time from the Settings page within the application, or by contacting us at info@mainto.ai. Cancellation is effective immediately, but you retain access to paid features until the end of your current billing cycle.
6.2 Refunds
- Monthly plans: No refunds are provided for partial months. You retain access through the end of your billing cycle after cancellation.
- Annual plans: If you cancel an annual plan within the first 30 days of purchase, you are eligible for a full refund. After 30 days, no refunds are provided, but you retain access through the end of your annual billing period.
- Billing errors: If you believe you were charged in error, contact us within 60 days and we will investigate and issue a refund if appropriate.
6.3 After Cancellation
After your subscription ends, your account reverts to the free tier. Your data is retained for 30 days in case you choose to resubscribe. After 30 days, your data will be permanently deleted unless you request otherwise. You can export your data at any time before deletion.
7. Data Ownership and Portability
- You own all data you upload to or create within Mainto — including property records, vendor information, work orders, service records, and compliance documents.
- We do not claim any ownership rights over your data.
- You can export your data at any time from the Settings page.
- You can request full deletion of your data by contacting us. We will process deletion requests within 30 days.
- We may use anonymized, aggregated data (that cannot identify you or your properties) to improve the Service.
8. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
- Attempt to gain unauthorized access to the Service, other users' accounts, or our infrastructure.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Use the Service to store or transmit malicious code, viruses, or harmful content.
- Resell, sublicense, or redistribute the Service without our written consent.
- Use automated tools (bots, scrapers) to access the Service beyond normal API usage.
- Abuse the AI features by submitting harmful, illegal, or spam content to the Maia copilot or vendor outreach system.
- Circumvent usage limits, rate limits, or feature restrictions on your plan.
Violation of these terms may result in immediate suspension or termination of your account.
9. AI Features and Automated Actions
- Mainto uses AI (powered by Anthropic Claude) to generate vendor outreach emails, analyze vendor responses, suggest scheduling optimizations, and power the Maia copilot.
- AI-generated content is provided as suggestions and may not always be accurate. You are responsible for reviewing any AI-generated content before it is sent or acted upon.
- Automated vendor outreach emails are sent on behalf of your organization using your organization's configured email settings. You are responsible for the content of emails sent from your organization.
- We do not guarantee the accuracy, completeness, or reliability of AI-generated outputs.
10. Service Availability
- We strive to maintain high availability but do not guarantee uninterrupted access to the Service.
- The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
- We will make reasonable efforts to notify you of planned maintenance in advance.
- We are not liable for any losses caused by Service downtime or unavailability.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- Mainto is a management and tracking tool. It does not replace professional inspection services, licensed contractors, or legal compliance advice.
- We are not liable for missed inspections, compliance failures, regulatory fines, property damage, or any other damages arising from your use of or inability to use the Service.
- We are not responsible for the accuracy or completeness of data you or your team members enter into the Service.
- Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
- In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
12. Indemnification
You agree to indemnify, defend, and hold harmless Mainto and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorney's fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law; or (d) content you upload to the Service.
13. Intellectual Property
- The Service, including its design, code, features, documentation, and branding, is owned by Mainto and protected by intellectual property laws.
- We grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your subscription.
- You may not copy, modify, distribute, or create derivative works based on the Service.
- The Mainto name, logo, and related marks are our trademarks. You may not use them without our written permission.
14. Termination
- You may terminate your account at any time by canceling your subscription and deleting your account from the Settings page.
- We may suspend or terminate your account if you violate these Terms, engage in abusive behavior, or fail to pay for a paid subscription after the grace period.
- Upon termination, your right to use the Service ceases immediately. Data retention after termination is governed by our Privacy Policy.
- Sections 7, 11, 12, 13, 15, and 16 survive termination.
15. Dispute Resolution
- These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions.
- Any disputes arising from these Terms or the Service shall first be addressed through good-faith negotiation.
- If negotiation fails, disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association (AAA), conducted in English.
- You agree to resolve disputes on an individual basis — class actions and class arbitrations are not permitted.
- Nothing in this section prevents either party from seeking injunctive relief in court for intellectual property violations or security breaches.
16. General Provisions
- Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Mainto regarding the Service.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full effect.
- Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
- Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.
- Notices: We may send notices to you via email at the address associated with your account. You may send notices to us at info@mainto.ai.
17. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a notice within the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription.
